Terms of Use - Gimi AI

These Terms of Use (“Terms”) are a binding agreement between you and Amir Landau (operating the Gimi AI app) (“we,” “us,” or “our”). By installing or using Gimi AI (the “App”) and related services (together, the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

1) Eligibility & Audience

• You must be able to form a binding contract.
• The Service is not directed to children under 13.
• You may use the Service only where lawful.

2) Accounts & Security

• The Service may operate through anonymous app profiles by default, and some users may also have legacy signed-in accounts.
• You’re responsible for your account or app profile, any credentials associated with it, and all activity under it.
• Tell us promptly about unauthorized use or security issues. We may suspend or terminate access to protect users and the Service.

3) License & Permitted Use

• We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose, subject to these Terms.
• You may not: reverse-engineer; bypass security, moderation, or rate limits; remove proprietary or provenance notices; use the Service to build a competing service; or use the Service for unlawful purposes.

4) Your Content & Responsibilities

• “User Content” includes text, prompts, images, audio, video, voice, likeness, and other inputs you provide, together with outputs you generate with the Service.
• You are solely responsible for your User Content, including obtaining all rights, permissions, releases, and consents needed for every identifiable or audible person and all copyrighted or other protected material appearing in the inputs or outputs.
• You represent and warrant that you have all rights, permissions, licenses, releases, and consents necessary to upload, use, process, generate from, and publish the relevant inputs and outputs.
• Some features use source video, source photo, or original audio embedded in source video. (In these Terms, a "feature" is the specific generation type you select — shown in the app as a template, style, or mode, for example Motion Control, Custom Dance, Lip Sync, captions, or voiceover.) For those features, you must have the right to upload and use each of those source materials.
• You may not use the Service to create misleading composites that falsely suggest a person said or did something they did not say or do, where that use would be deceptive, unlawful, or harmful.
• We may remove, reject, restrict, disable, suspend, or preserve content and related records if we believe there’s a violation of these Terms, applicable law, or provider rules, or if we consider that necessary for safety, legal compliance, enforcement, or defense of claims.

5) Synthetic Media, Disclosure & Publishing Responsibility

• The Service may generate AI-generated, synthetic, or materially edited media.
• You are responsible for any disclosure, labeling, consent, clearance, or other compliance required by applicable law, platform rules, or the context in which you publish or use outputs.
• You may not use the Service for deceptive impersonation, false endorsement, scams, fraud, harassment, non-consensual intimate content, or other unlawful or harmful uses.
• If we apply provenance labels, notices, metadata, or watermarks, you may not remove, alter, hide, or bypass them.
• Outputs may still implicate third-party rights and are not guaranteed to be unique, non-infringing, lawful to publish, or cleared for any particular use.

6) Ownership

• We and our licensors retain all rights in and to the Service and its content (excluding your User Content).
• As between you and us, you retain whatever rights you have in your User Content. You grant us a limited license to host, process, and transmit User Content as needed to provide the Service and to comply with law.

7) Service Limits, Moderation & Storage

Descriptions, labels & examples

• Plan names, template names, model names, styles, labels, instructions, explanations, examples, previews, and summaries are descriptive or illustrative only and do not by themselves guarantee exact functionality, scope, suitability, or results.
• Actual functionality, outputs, included features, limits, availability, and other service behavior may depend on the selected feature, provider, settings, inputs, subscription or offer, and current system state.

Submission state

• The Service acts on the selections, inputs, prompts, account or app-profile state, and other information in effect when you submit a generation request, purchase, restore request, or other action.
• Later edits, interruptions, navigation changes, or changes of mind may not modify, stop, or reverse an in-progress generation, billing event, credit event, moderation outcome, or other submitted action unless the Service expressly confirms that change or cancellation.

Usage limits

• One active job: You can generate one video at a time per account or app profile.
• Daily video cap: Maximum 10 completed video generations per UTC day.
• Generation requests (subscribers): A "Tap" means pressing the "Generate" button when you have enough credits for a generation to begin. Every tap that starts a generation counts as one request, even if the result succeeds, fails, or is blocked. You can start up to 60 generation requests per UTC day.

Content moderation

• Text prompts and uploaded images, videos, audio, and other required inputs must pass our moderation and any third-party moderation we use before a generation can start.
• If certain uploaded visual inputs trigger our pre-generation safety screening 3 times in a UTC day, your account or app profile is blocked from starting new generations for the rest of that UTC day. The 3-block counter resets at 00:00 UTC.
• Moderation blocks include (without limitation) categories restricted by us or our providers (e.g., sexual/nudity content and exploitation, illegal content, hate/harassment, graphic violence, intellectual-property violations, or other prohibited categories).
• Repeated or serious violations (including frequent daily blocks) may result in suspension or termination of access.

Performance & availability

Generation time varies with demand and provider availability. No specific turnaround time is guaranteed.

The Service as a whole may be unavailable, interrupted, delayed, or limited from time to time, including due to maintenance, updates, technical issues, network problems, overload, or outages of third-party providers. We do not guarantee continuous, uninterrupted, or error-free operation of the Service, and we are not responsible for any downtime, failed or delayed generations, loss of progress, or inability to access or use the Service.

Output duration & variability

• Any duration shown in the Service for a feature (for example, “5 seconds”) reflects the requested, nominal, or rounded target length for that feature and is provided for convenience only.
• Actual output duration may be shorter or longer and may vary due to provider behavior, model behavior, processing, input characteristics, system conditions, or rounding. No displayed duration is guaranteed to be exact.
• If no duration is displayed or specified for a feature, no particular output length is promised or guaranteed.
• Output duration, generation time, and other output characteristics may vary by feature, template, style, model, provider, input, and system demand.
• Unless a specific feature, template, style, or generation setting expressly says audio is included, outputs should be understood as visual-only and no audio is promised.
• Where audio is included, it may be preserved from user-provided source media in certain features or generated by the selected model or provider in others, and audio availability and characteristics may vary unless we expressly state otherwise.

Storage & retention

• Uploaded source media and generated outputs may be stored or hosted temporarily by us or our providers to operate the Service and deliver results.
• File and link availability may depend on provider settings and our configured retention settings. We do not promise a fixed availability period unless we expressly say that one applies.
• Generated images/videos may be available temporarily (including temporary display in your profile/history) to deliver results and allow re-download, but links may expire and temporary copies may be deleted without notice.
• You are responsible for promptly saving your media to your device once generation completes.
• If we delete media or disable links under our control, we cannot remove copies already downloaded to your device.
• “UTC day” means 00:00–23:59 UTC.

8) Subscriptions, Credits & Billing

• When you purchase a subscription and on each renewal, your account or app profile receives the credits shown on the subscription page for your plan.
• Unused credits remain in your balance at renewal (they do not reset).
• Daily/request limits apply regardless of credit balance.
• Subscribed users may be offered optional one-time in-app purchases, including additional credit packs or similar consumable items. Availability, pricing, and eligibility may depend on the selected plan, feature, platform, offer, or region and will be shown at the time of purchase.
• Subscriptions auto-renew until you cancel through the App Store / Google Play. Pricing, term, and included credits are shown at purchase and may be updated for future periods as permitted by store rules.
• Eligible purchases may be restored, primarily active subscriptions and other restorable entitlements associated with the same Apple ID or Google Play account used for the original purchase.
• Restoration of consumable credits, including credits granted through a subscription period or through one-time credit packs or similar purchases, historical balances, or past credit adjustments is not guaranteed and may depend on purchase type, platform/store history, device or account state, and our internal verification records.
• Restore does not recreate previously generated videos, artifacts, library items, or other prior account or app-profile data, even if some credits are restored or reconciled in certain cases.
• Displayed prices in the applicable App Store or Google Play may include applicable taxes depending on the storefront and local law.
• Subscription payments and one-time purchases, including credit packs or similar consumable purchases, are generally non-refundable, except where a refund is required by law or allowed under the applicable App Store or Google Play rules.
• Purchases, cancellations, and refunds are also subject to the applicable App Store or Google Play terms and policies.

Campaigns, Referrals, Attribution & Promotions

• The Service may use campaign, referral, influencer, tracking-link, deep-link, and attribution systems to route users, measure marketing performance, determine eligibility for promotions or referral flows, calculate commissionable activity, prevent abuse, and resolve disputes.
• Attribution outcomes may be determined from our internal records and from third-party attribution providers. These records may include campaign, channel, click, install, app-profile, purchase, revenue, and timing information.
• We may deny, adjust, reverse, withhold, or correct campaign, referral, promotion, credit, commission, or payout-related benefits if attribution is invalid, manipulated, abusive, unavailable, incomplete, delayed, corrected later, inconsistent with our records, or otherwise not verifiable.

9) Acceptable Use (Examples)

You agree not to:

• Upload or generate unlawful, harmful, or infringing content (including content that violates privacy, publicity, copyright, trademark, or other rights).
• Mislead others about whether AI was used; create deceptive impersonations or false endorsements; or use outputs for decisions with legal/material impact on individuals (e.g., credit, employment, housing, medical) without appropriate human review and compliance with law.
• Interfere with or disrupt the Service; bypass limits or moderation; probe/test for vulnerabilities; or automate use in a way that degrades availability.
• Manipulate attribution, referral links, promo codes, tracking links, purchase records, credits, or payout logic.
• Use the Service or outputs to build/train models or services that compete with the Service.

10) Reports, Complaints & Enforcement

• If you believe content created with the Service violates your rights or these Terms, or if you want to send a copyright complaint, intellectual-property complaint, privacy/publicity/right-of-likeness complaint, or other legal notice, you may contact us at [email protected].
• We may investigate reports or complaints and take action we consider appropriate, including warning, limiting, suspending, terminating, removing, disabling, or preserving relevant content, links, and related records.
• Where warranted, we may also remove or disable access to specific files or links still under our control or available through provider features we use, but we cannot remove copies already downloaded to a user’s device.

11) Third-Party Services & Providers

• The Service relies on third-party providers (e.g., model/moderation providers, storage, payments, and analytics and attribution providers). Their policies and availability may affect your use (including moderation outcomes and availability).
• We use third-party analytics and attribution services to understand how users find and use the App; their handling of data is described in our Privacy Policy.
• You must comply with applicable provider rules. We are not responsible for third-party services we do not control.

12) Intellectual Property

No rights or licenses are granted except as expressly stated. You may not copy, modify, distribute, or create derivative works of the Service or its content (other than your own User Content) without our prior written consent.

13) Feedback

• If you submit ideas or suggestions, you grant us a non-exclusive, worldwide, royalty-free license to use them without restriction.

14) Disclaimers

The Service (including any images, videos, or other outputs) is provided “AS IS” and “AS AVAILABLE.” We do not guarantee that the Service will be uninterrupted, error‑free, timely, secure, or available at all times. Service performance and generation times depend on third‑party providers and may vary due to demand, outages, maintenance, network issues, or other factors outside our control.

To the fullest extent permitted by law, we make no warranties or representations of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non‑infringement, accuracy, reliability, or suitability of results.

AI‑Generated Content Disclaimer

• Outputs may differ from your input, prompt, expectations, or any style, layout, or template you select.
• Outputs may contain artifacts, distortions, inconsistencies, or visual imperfections.
• No accuracy, realism, correctness, or suitability is guaranteed.
• Generations may fail, be incomplete, or produce unexpected or unintended results.
• We are not responsible for outputs you consider unsatisfactory, inaccurate, or unexpected.

You are solely responsible for reviewing and validating any output before relying on it, and you assume all risks associated with your use of AI‑generated content.

15) Limitation of Liability

• To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, or goodwill.
• Aggregate cap: Our total liability for all claims relating to the Service will not exceed the amounts you paid to us, if any, in the six (6) months before the event giving rise to the claim.

16) Indemnification

You will defend, indemnify, and hold us harmless from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.

17) Suspension & Termination

• We may suspend or terminate access immediately if we believe you violate these Terms, law, or provider rules; to protect users or the Service; or for non-payment.
• You may stop using the Service at any time.
• Sections that by nature should survive (e.g., ownership, disclaimers, limits of liability, indemnity) survive termination.

18) Changes to the Service, Pricing, and to these Terms

We may add, change, or remove features; adjust or impose usage limits; modify the credit system (including the number of credits granted per subscription period); change template prices, generation prices, or other feature-related costs; or discontinue parts of the Service, all in accordance with the applicable rules of the app stores.

We may also update the pricing of subscriptions, in-app purchases, or any feature-related charges. If a subscription price changes, Apple or Google may require you to approve the new price. If you do not approve the updated price, your subscription may be canceled by the app store.

We may update these Terms from time to time. If updates materially affect your rights, we will provide notice where required by law. Your continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms.

19) Export Controls & Sanctions

You may not use, export, or provide the Service where prohibited by applicable export-control or sanctions laws, or if you are a restricted person or in a restricted jurisdiction. You are responsible for compliance with such laws and any applicable provider restrictions.

20) Governing Law & Dispute Resolution

• These Terms are governed by the laws of Israel, without regard to conflict-of-laws rules.
• You and we irrevocably waive any objection to venue or personal jurisdiction, including any claim of improper forum, lack of jurisdiction, or forum non conveniens, and agree that the courts of the Tel Aviv District shall serve as the exclusive and binding forum.

21) Electronic Communications & E-Signatures

You consent to receive communications electronically and agree that electronic agreements, notices, and records satisfy legal requirements that such communications be in writing.

22) Miscellaneous

• These Terms constitute the entire agreement regarding the Service.
• If any provision is found unenforceable, the remainder will remain in effect.
• We may assign or transfer these Terms, and any of our rights or obligations under them, in whole or in part, to any third party without your consent. You may not assign these Terms without our consent.
• No waiver is effective unless in writing and signed.
